DEPARTMENT SUMMARY:

The Business Affairs Team is in charge of all the legal aspects of the Company’s commercial activities, including the review and negotiation of vendor and contractor agreements, marketing agreement, SaaS agreements, technology and all other agreements. In addition, the Business Affairs Team manages the Company’s Intellectual Property portfolio, advices on legal compliance matters, and monitors implementation of the Company’s commercial activities, including in areas of marketing, product, technology, customer service, and corporate operations.
 

POSITION SUMMARY:

The In-House Attorney will officially be the Business Affairs Manager of the company who will oversee and is primarily in charge of the day to day legal contract review and drafting processes, as well as of the management and monitoring of our Intellectual Property (IP) portfolio and the enforcement of our Intellectual Property rights against third-parties. This person will also be responsible for compliance matters across multiple areas of the business, including privacy, data protection, and other laws that directly affect our business operations.

 

REQUIRED RESPONSIBILITIES:

  • Contract drafting, review and negotiation, including managing relationships with internal teams and review/redline vendor agreements, draft NDAs, confidentiality agreements, non-compete, and other types of consulting and contractor agreements in areas of product, marketing, technology, hosting, SaaS, licensing, payments, customer service, real estate, and operations, among other areas.
  • Management of the Company’s IP Portfolio including the filing and monitoring of patents, trademarks, and copyrights with the USPTO as well as manage international registrations in the EU and in other countries, as applicable; manage our domain portfolio; enforce our IP rights against third parties, including the filing and management of ICANN complaints, DMCA complaints, issue cease and desist letters, and work with outside counsel on IP litigation as needed.
  • Monitor and enforce compliance throughout our business activities, including monitor and update our sites terms of use, privacy policies, cookies and tracking policies, disclosures through the sites, as well as ensure compliance with US and International laws such as GDPR, US and international privacy rules, credit card scheme regulations, consumer data protection rules, and others as may be applicable in conjunction with the business needs.
  • Work on acquisitions together with the finance and marketing teams, including preparation and review of due diligence requests, review of documentation, drafting asset and stock purchase agreements, as applicable, and work with outside counsel and the internal teams on pre-closing and post-closing matters.
  • Support the customer care team from a legal perspective on multiple areas such as customer complaints, attorney general complaints, and other issues as they arise.
  • Support the headquarters and corporate operations teams including accounting, finance, tax and corporate, with day to day legal matters, as needed.
  • Perform other job-related duties as assigned.

 

REQUIRED QUALIFICATIONS:

  • A Juris Doctor is required and admitted to practice law in the US or Puerto Rico; LLM in Intellectual Property or Business is desired.  
  • 6 to 10 years of law firm practice or equivalent in-house experience is a must. 
  • The candidate must also have high attention to detail and accuracy with the ability to multi task, strong English communication skills both verbal and written, full knowledge of legal principles and practices, and strong legal research and analytical techniques.

 

DESIRED SKILLS: 

  • Knowledge and understanding of tech/SaaS industry terminology with solid experience drafting and reviewing commercial contract. Strong sense of confidentiality.
