DEPARTMENT SUMMARY:

The Corporate Affairs Team is in charge of all the legal aspects of the Company’s corporate and operational matters, including the management of all our local and international corporate governance matters, investor relations, local and international compliance, and other related business and operations matters.
 

POSITION SUMMARY:
 

The CORPORATE AFFAIRS ASSOCIATE (IN-HOUSE LAWYER) will be primarily in charge of supporting the Corporate Affairs Team on the management of its local and international Board operations, including drafting Board resolutions, certificates, minutes, formation documents, operating agreements, subscription agreements and other related governance documents. The Associate will also support in the review and drafting of commercial contracts such as NDAs, contractor agreements, SaaS agreements, and other types of agreements which are inherent to a technology/subscription based business.

This person will also be giving support on legal compliance matters across multiple areas of the business, including in areas of accounting, finance, tax, payments, facilities, and to the operations of the business in general. The candidate must be able to manage and prioritize a large workload and multiple different assignments. The Candidate also needs to have sound business judgement and the ability to think strategically with a desire and ability to work collaboratively and as part of a cohesive team.
 

REQUIRED RESPONSIBILITIES:

  • Support the team and senior management on corporate and compliance matters in certain areas of the business, including but not limited to corporate governance matters of local and foreign companies and subsidiaries, restructuring, mergers and acquisitions, inter-company agreements, vendor agreements, and general business operations.
  • Provide daily assistance with internal/risk controls and legal/regulatory compliance matters.
  • Work closely with the finance team on global banking/MLA compliance, including KYC requests. 
  • Work closely with the tax team on the daily management of local tax incentive plans, and prepare sworn statements, motions, and letters to be filed/submitted to DDEC and related government agencies. 
  • Work closely with business partners and outside counsel to provide strategic/legal advice on a variety of matters to evaluate and minimize risk and advance strategic initiatives.
  • Structure, draft and review reports, excel files, power points and other type of documents.
  • Conduct legal research, both on local laws and international laws, and draft legal documents, policies, agreements and memorandum.
  • Additional responsibilities as assigned by the team management.
  • Ability to manage and prioritize a large workload and multiple different assignments.
  • Sound business judgment and the ability to think strategically.
  • Desire and ability to work collaboratively and as part of a cohesive team.

REQUIRED QUALIFICATIONS:

  • A Juris Doctor is required and admitted to practice law in the US or Puerto Rico; LLM in Business is desired.
  • 2 to 5 years of law firm practice or equivalent in-house experience is a must.
  • The candidate must also have high attention to detail and accuracy with the ability to multi task.
  • The Candidate must have strong English communication skills both verbal and written, full knowledge of legal principles and practices, and strong legal research and analytical techniques.

DESIRED SKILLS: IF ANY

  • Knowledge and understanding of tax law and tech/SaaS industry terminology.
